Constitution Change
We need to make a constitutional change to allow donations. Since I am going to be on the road for about 5 days, could someone check to see how we do that.
At this point I don't believe we can make those changes with just the board, rather the membership has to vote on it. Correct me, if I am wrong.

Here is the guideline for a change.
6. Amendments:
a. Changes to the bylaws
i. May be made at any regular or special meeting, providing there is a quorum, by a two-thirds vote of the membership present including absentee ballots or proxy votes.
ii. Proposed changes must be presented to the NAMSA (via web site posting or in writing) at least 30 days prior to the vote and must be seconded by at least ten (10) current members.
iii. Become effective during the "New Business" section of the current meeting, unless specified in the motion.
I am not sure how many members Namsa has now so in effect if the minimum number is not an option due to size of assoc. then you as president could call a special meeting of the board and present it as "new business" if the full board approves then it would pass. Also at this time I think you should introduce methods to change bylaws after NAMSA has grown in order to allow the board an easier path to control the growth of the organization. Possibly change the bylaws to state that the board can pass changes with a unanimous vote of the full board. That way you can make minor changes without a bunch of headaches. This is something that takes a bit of thought since only the Chair can call a vote then only the CHair has the ability to userp the membership in certain cases.
Hope that was not too confusing I know what I meant to say but I don't think it came out too clear in writing.
